What should be included in distribution agreements to safeguard my interests?​

When crafting a distribution agreement, ensure to include clauses to safeguard your interests.

  • Definitions

Clearly distinguish each party involved in the conflict, and define key terms throughout the contract

  • Individual Roles

Make the individual roles of each party of the contract very clear. Define responsibilities and the obligations of each party

  • Pricing and Payment

Define the payment structure and the terms of the payments. Ensure all currency and tax responsibilities are taken into account to prevent any complications. 

  • Non compete clauses

Including a non compete clause can prevent your distributor from displaying competing films on their platform, therefore limiting direct competition. 

  • Termination Clauses

It’s important to specify in writing the conditions under which either party can terminate the agreement, such as a breach of conflict, failure to meet targets, or other conditions.. 

  • Force Majeure

Include clauses that account for events outside of both parties’ control that may prevent performance under the agreement.
